These Terms of Service (“Terms”) govern access to and use of https://paytotrade.app and the PayToTrade service (the “Service”) operated by FiveToClose (“we,” “us,” or “our”). PayToTrade is a product of FiveToClose.

By accessing the site, signing in with Google, joining a waitlist, connecting a wallet, funding a hot wallet, arming live trading, or otherwise using the Service, you agree to these Terms, our Privacy Policy, and Risk Disclaimer. If you do not agree, do not use the Service.

1. Eligibility and private validation

You must be at least 18 years old (or the age of majority in your jurisdiction) and legally able to enter a contract. You represent that you are not prohibited from using crypto-asset software under the laws that apply to you, including sanctions and crypto-asset restrictions.

The Service is in private validation. Live trading controls are limited to an authorized operator account we designate. If you sign in with Google and you are not that operator, we may store your email on a waitlist and show you a hold page. Waitlist access is not a license to trade, not an offer of securities, and not a promise we will open to the public or contact you.

2. Description of the Service

PayToTrade is experimental software that can display market data, apply automated decision rules (including third-party model judgments), and, when armed by an authorized operator, submit real swaps or related transactions on public blockchains (including Solana) using a hot wallet the operator funds.

The Service is provided “as is” and “as available.” Features, models, venues, tokens, risk limits, and interfaces may change or stop without notice. We do not provide investment advice, broker-dealer services, money transmission as a consumer cash-out product, custody of your main wallet, tax advice, or a guaranteed trading strategy.

3. Accounts and Google sign-in

Access uses Google OAuth. You must keep your Google account secure. You are responsible for activity under your session. We may refuse, suspend, or terminate access at any time, including if we believe you are not the authorized operator, you pose a security risk, or law requires it.

4. Wallets, keys, and funds

We never ask for your seed phrase. Do not send seed phrases, private keys, or passwords to us. If you connect Phantom or another wallet, you authorize the browser wallet to show balances and, if you choose, to sign transfers you initiate.

Unattended live trading, if enabled, uses a separate hot wallet generated for the desk. Anything you send to that address can be spent by the software according to its rules, including in full. Only fund amounts you can afford to lose. Blockchain transactions are irreversible.

5. Live trading, stops, and software risk

If live mode is armed, the Service may buy, sell, or reallocate digital assets, including major tokens and, if enabled, other tokens such as memecoins. Take-profit and stop-loss logic is software. It can miss, slip, fail to send, fail to confirm, or fill at a worse price. Network congestion, RPC faults, smart-contract risk, rug pulls, and oracle/price-feed errors can cause loss beyond a displayed stop.

Past tape, paper tests, screenshots, or “winning” appearance are not a representation of future results. You acknowledge prior automated attempts can lose money, including total loss of a funded balance.

6. Prohibited use

You may not: use the Service if you are not eligible; attempt to access another person’s session or hot wallet; interfere with the site; use the Service to violate law (including market manipulation, sanctions evasion, or fraud); scrape in a way that degrades the Service; or reverse engineer except where mandatory law allows.

7. Fees and pricing

We may later charge for access. No paid plan is offered on these Terms today. Blockchain networks and third-party routers charge their own fees, which you bear. We are not responsible for those fees.

8. Third-party services

The Service depends on third parties including Google, hosting providers, market-data sources, RPC nodes, and swap/routing protocols (including Jupiter and Solana infrastructure). We do not control their availability, pricing, or policies. Your use of those services is also subject to their terms.

9. Intellectual property

The Service, branding, and software are owned by FiveToClose or its licensors. You receive a limited, revocable, non-exclusive, non-transferable license to access the Service for its intended purpose while we permit access. You may not copy, resell, or frame the Service except as allowed by mandatory law.

10. Suspension and termination

We may suspend or terminate access immediately. You may stop using the Service at any time and request deletion of waitlist records we control via support@fivetoclose.cloud. On-chain history cannot be reversed. Provisions that by nature should survive (including disclaimers, liability limits, indemnity, and wallet/risk acknowledgements) survive termination.

11. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT ANY TRADE WILL BE PROFITABLE, THAT STOPS WILL FILL, THAT THE SERVICE WILL BE ERROR-FREE, SECURE, OR UNINTERRUPTED, OR THAT MARKET DATA IS ACCURATE OR COMPLETE.

12. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, FIVETOCLOSE, PAYTOTRADE, AND THEIR OPERATORS, AFFILIATES, AND SUPPLIERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, DIGITAL ASSETS, GOODWILL, OR BUSINESS OPPORTUNITY, WHETHER BASED IN CONTRACT, TORT, OR OTHERWISE, EVEN IF ADVISED OF THE POSSIBILITY, INCLUDING LOSSES FROM FAILED TRANSACTIONS, SLIPPAGE, SMART-CONTRACT FAILURE, THEFT, KEY COMPROMISE, OR MARKET MOVEMENT.

OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATED TO THE SERVICE OR THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID US FOR THE SERVICE IN THE THREE (3) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM (OR USD $50 IF YOU HAVE NOT PAID US). THIS LIMIT DOES NOT REQUIRE US TO REIMBURSE BLOCKCHAIN LOSSES.

13. Indemnity

You agree to indemnify, defend, and hold harmless FiveToClose, PayToTrade, and their officers, agents, and contractors from and against any claims, damages, losses, liabilities, and expenses (including reasonable attorneys’ fees) arising out of or related to: your use of the Service; wallets you connect or fund; transactions you authorize or that an armed desk submits from a hot wallet you funded; your violation of law or third-party rights; or your breach of these Terms.

14. Changes

We may modify the Service or these Terms. We will update the “Last updated” date when Terms change. Continued use after changes constitutes acceptance where permitted.

15. Governing law

These Terms are governed by the laws of the United States and the State of Texas, without regard to conflict-of-law rules, unless mandatory consumer protections in your jurisdiction require otherwise. Venue for disputes shall be in courts located in Texas, USA, except where prohibited.

16. Miscellaneous

If any provision is unenforceable, the remainder stays in effect. These Terms, the Privacy Policy, and the Risk Disclaimer are the entire agreement regarding the Service. Failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
